PanPal AI Terms of Service

Introduction

Welcome to PanPal! These Terms of Service (“Terms,” “ToS,” or “Agreement”) govern your access to and use of the PanPal AI mobile application (referred to as “PanPal AI,” “PanPal,” “the App,” “Service,” “we,” “us,” or “our”), operated by a solo proprietorship in the Netherlands. PanPal AI allows users to create, share, and cook recipes with AI assistance, including features for generating images, nutritional information, and steps, as well as interacting with Large Language Models (LLMs).

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other operating rules, policies, and procedures that may be published from time to time on the Service by us, each of which is incorporated by reference. If you do not agree to these Terms, you may not use the Service.[15, 14, 16, 17]

1. Acceptance of Terms

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By creating an account, clicking “I Agree,” or otherwise accessing or using the Service, you confirm your acceptance of these Terms.[14]

2. User Accounts and Responsibilities

2.1. Account Creation

To access certain features of the Service, you may be required to register for an account. You must provide accurate, current, and complete information during the registration process and keep your account information updated.[18]

2.2. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.[18]

2.3. Your Responsibilities

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Service. You are responsible for ensuring that your use of the Service is in compliance with all applicable laws and regulations in your jurisdiction.[19, 18]

3. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Modifying, copying, leasing, selling, reselling, distributing, reverse engineering, decompiling, or otherwise attempting to extract the source code of the Service or any part thereof.[18]
• Using bots, spiders, scrapers, or other automated means to access or interact with the Service for any unauthorized purpose.[18]
• Disrupting, interfering with, or gaining unauthorized access to the Service or its safety systems.[18]
• Uploading, posting, or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.[16, 17]
• Violating copyright, trademark, or other intellectual property laws, including uploading copyrighted images or content without permission.[16, 17, 18]
• Violating a person’s privacy or their right to publicity.[18]
• Engaging in the sexualization or exploitation of children.[18]
• Engaging in espionage, hacking, defrauding, defamation, scamming, spamming, or phishing.[18]
• Spreading false or misleading information.[16]
• Stalking or harassing other users.[16]
• Uploading or sharing any content (especially recipes) that is dangerous, illegal, promotes harmful activities, or could cause harm to others.

4. Intellectual Property Rights

4.1. PanPal’s Intellectual Property

All intellectual property rights in and to the PanPal application, logos, designs, application code, user interface, and all proprietary content (excluding User-Generated Content), are owned by us and are protected by copyright, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally permitted by the Service’s functionality.[15, 16, 17]

4.2. User-Generated Content (UGC) Ownership and License

You retain ownership of and responsibility for any original content (such as recipes, images, and profile pictures) that you create, upload, post, or otherwise make available on or through the Service (“User-Generated Content” or “UGC”).[20, 19]

By submitting UGC to PanPal, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your UGC in connection with the Service and our business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. This license is granted for the purpose of operating, improving, and promoting the application, including for app optimization and potential AI training using public data.[20, 19]

You understand and agree that any User-Generated Content you post publicly (e.g., public recipes) may be viewed, accessed, and used by other users of the Service and the general public.[19] You will not receive any payment for any of the rights granted in this license.[19] The licenses you grant to us will end when you remove your User-Generated Content from our servers, subject to our data retention policies and any copies made as part of the Service’s normal operation.[19]

5. AI-Generated Content Disclaimers

PanPal AI utilizes artificial intelligence, specifically Large Language Models (LLMs), to assist in generating various recipe elements (e.g., images, nutritional information, steps) and to answer user questions. Please be aware of the following inherent limitations and disclaimers regarding AI-generated content:

• Probabilistic Nature: Artificial intelligence is a rapidly evolving and probabilistic technology. Outputs from LLMs may sometimes contain “hallucinations,” be offensive, not accurately reflect real people, places, or facts, or otherwise be objectionable, inappropriate, or unsuitable for your intended purpose.[18]
• Not Professional Advice: AI outputs are not professional advice (e.g., dietary, medical, or safety advice) and should not be relied upon as factual truth. You should conduct your own thorough research and verification before using or relying on any AI-generated content.[18]
• User Responsibility: You are solely responsible for evaluating the AI output for accuracy, appropriateness, and safety, including the necessity for human review and supervision, before using or sharing any AI-generated content or recipes.[18]
• No Endorsement: AI outputs do not represent PanPal AI’s views and are not meant to endorse any person or third-party views.[18]
• Transparency: We commit to clearly labeling any content, images, or recipe elements generated or significantly assisted by an AI system within the application to maintain transparency with users.[21]

6. User-Generated Content (UGC)

You are solely responsible for the content of, and for any harm resulting from, any User-Generated Content that you post, upload, link to, or otherwise make available via the Service, regardless of the form of that Content.[19] We are not responsible for any public display or misuse of your User-Generated Content.[19] While we do not pre-screen User-Generated Content, we have the right (though not the obligation) to refuse or remove any User-Generated Content that, in our sole discretion, violates these Terms or any PanPal AI policies.[20, 19]

7. Disclaimers and Limitation of Liability

As a solo proprietorship (eenmanszaak) in the Netherlands, the owner is personally and fully liable for all company finances and debts. While these Terms are designed to limit our liability to the maximum extent permitted by law, they cannot eliminate the inherent personal liability associated with this legal structure.[22, 23]

7.1. “AS IS” Basis

The Service, including any beta technologies or experimental features (such as cooking timers), is provided “AS IS” and “AS AVAILABLE,” without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. The Service may contain errors, defects, bugs, or inaccuracies that could lead to failure, corruption, or loss of data and information.[18] You agree that your use of any PanPal AI technologies is at your own risk.[18]

7.2. Disclaimer of Responsibility for Content and Timers

To the fullest extent permitted by applicable law, PanPal AI explicitly disclaims all responsibility and liability for:

• The accuracy, completeness, legality, safety, or appropriateness of any LLM outputs, AI-generated images, or recipe elements.
• Any content (recipes, images, profiles, profile pictures) created, uploaded, or shared by other users.
• The accuracy, reliability, or any consequences arising from the cooking timers provided in the app. You acknowledge that these timers may be wrong, and PanPal AI is not responsible for push notifications related to timers or any reliance placed on them.
• Any harm or damage resulting from your reliance on information obtained through the Service, including AI-generated content or user-generated recipes.

7.3. Limitation of Damages

In no event shall PanPal AI, its owner, or its affiliates be liable for any indirect, incidental, punitive, special, exemplary, or consequential damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from your use or inability to use the Service, even if we have been advised of the possibility of such damages.[14, 16, 17] Our total liability to you for all claims arising from or relating to these Terms or your use of the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the liability, or one hundred Euros (€100), whichever is greater.

7.4. Indemnification

You agree to defend, indemnify, and hold harmless PanPal AI, its owner, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User-Generated Content, your use of AI-generated content, or your violation of any applicable law or the rights of a third party.

8. Subscription Terms

8.1. Auto-Renewing Subscriptions

PanPal offers paid subscriptions that automatically renew, providing increased access to AI or premium features. By purchasing a subscription, you agree to the subscription fees, billing cycles, and auto-renewal terms.[17]

8.2. Cancellation Policy

ou must be able to cancel your subscription easily, using the exact same method by which you signed up for it.[24, 25] Instructions for cancellation will be provided within the app and on the relevant app store platform (Google Play Store or Apple App Store).

8.3. Cooling-Off Period

For initial subscription purchases made online or remotely, a statutory cooling-off period of 14 days applies under Dutch consumer law. During this period, you may cancel your purchase without giving any reason.[25]

8.4. Payment and Billing

You agree to pay all applicable fees and taxes associated with your subscription. We reserve the right to change our subscription fees upon reasonable notice. We are not responsible for any charges or fees applied by your mobile carrier or payment processor.[16, 17]

9. Content Reporting Mechanism

PanPal AI provides a “report button” specifically for recipes and food-related content. This mechanism allows users to report content that they believe violates these Terms (e.g., abusive, inappropriate, illegal, or unsafe recipes). We will review reported content in a timely manner and take appropriate action, which may include removing the content or suspending/terminating the offending user’s account, at our sole discretion.[19] Please note that while we review reported content, we do not pre-screen all content uploaded by users.[19]

10. Termination and Suspension

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to:

• Your breach of these Terms or our Acceptable Use Policy, guidelines, or other policies.[14, 17, 18]
• If we must do so to comply with the law.[18]
• If your use of our Service could cause risk or harm to PanPal AI, our users, or anyone else.[18]
• If your account has been inactive for over a year and you do not have a paid account.[18]

You may delete or cancel your account at any time by following the instructions within the application.[17]

11. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.[14, 17]

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved informally through good faith negotiations. If a dispute cannot be resolved informally, you agree to submit to the exclusive jurisdiction of the courts located in the Netherlands for the resolution of any legal action or proceeding.[14, 17]

12. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.[14, 17]
